Overview

These Terms of Service ("Terms") govern your access to and use of this online store and its related websites, content, features, products, and services (collectively, the "Services").

The Services are operated by Zept Labs ("we", "us", or "our").

By accessing, browsing, purchasing from, or otherwise using the Services, you agree to these Terms and any policies expressly incorporated into them, including our Privacy Policy and Return and Refund Policy.

Nothing in these Terms limits or excludes any consumer rights or remedies that cannot lawfully be limited or excluded under the laws applicable to you.

1. Eligibility and Use of the Services

You may use the Services only if you have the legal capacity to enter into transactions through the Services under the laws applicable to you.

If you are under the applicable age of majority, you may use the Services only with the involvement and authorization of a parent or legal guardian where required by law.

Nothing in this section limits your rights where a product is faulty, damaged, unsafe, incorrect, misdescribed, or otherwise fails to satisfy requirements imposed by applicable consumer law.

3. Orders and Acceptance

Submitting an order constitutes an offer to purchase the products included in that order.

Receipt of an automated order confirmation does not necessarily mean that we have accepted your order.

An order is accepted when we confirm acceptance or otherwise process the order in a manner that creates a binding contract under applicable law.

We reserve the right to decline or cancel an order where reasonably necessary, including because of:

  • product unavailability;
  • suspected fraud or unauthorized activity;
  • payment authorization problems;
  • material pricing or product-information errors;
  • shipping or legal restrictions;
  • suspected misuse of the Services; or
  • circumstances that reasonably prevent us from fulfilling the order.

If we cancel an order after receiving payment and no products are supplied, we will provide an appropriate refund.

Cancellation and return rights are governed by our Return and Refund Policy and any additional mandatory rights available under applicable law.

4. Prices, Payments, Taxes, and Charges

Prices displayed through the Services may change from time to time.

We will remain responsible for shipping and delivery to the extent required by applicable law.

Risk of loss or damage to goods will transfer at the time determined by applicable law. Nothing in these Terms transfers risk to you earlier than permitted by mandatory consumer law.

7. Returns, Refunds, and Cancellations

Nothing in this section excludes liability that cannot legally be excluded.

By using the Services, you acknowledge that personal information may be processed by service providers that help us operate the Services, including providers of ecommerce infrastructure, payments, hosting, fulfillment, delivery, security, analytics, customer support, and other operational functions.

12. Reviews, Feedback, and User Content

If you voluntarily submit reviews, photographs, comments, suggestions, ideas, feedback, or other content ("User Content"), you confirm that you have the rights necessary to submit that content.

You must not submit User Content that:

  • infringes another person's intellectual-property, privacy, publicity, or other legal rights;
  • is fraudulent or intentionally misleading;
  • contains malicious software;
  • is unlawful;
  • impersonates another person; or
  • otherwise violates applicable law.

To the extent necessary to operate, display, promote, improve, and provide the Services, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, display, distribute, adapt, and communicate User Content you voluntarily submit, subject to applicable law.

This license does not transfer ownership of your User Content to us.

Where applicable law provides rights that cannot be waived or transferred, those rights remain unaffected.

We may moderate or remove User Content where reasonably necessary, including where we believe it violates these Terms or applicable law.

13. Errors and Inaccuracies

Occasionally, information presented through the Services may contain typographical errors, technical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, availability, shipping, or other information.

We may correct errors and update information where reasonably necessary.

If a material error affects an order you have already submitted, we will handle the matter reasonably and in accordance with applicable law, including providing any cancellation or refund required by law.

15. Suspension and Termination

We may suspend or terminate access to some or all of the Services where reasonably necessary, including because of material violation of these Terms, fraudulent or unlawful activity, security threats, misuse of the Services, or legal or regulatory requirements.

Where appropriate and reasonably practicable, we may provide notice.

Termination does not eliminate rights, obligations, payments, liabilities, or remedies that arose before termination.

Provisions that by their nature should continue after termination will remain effective to the extent permitted by applicable law.

16. Availability of the Services

We aim to keep the Services reasonably available, but we do not guarantee uninterrupted or error-free access.

The Services may occasionally be unavailable because of maintenance, technical failures, third-party service interruptions, security measures, updates, or circumstances outside our reasonable control.

We may modify or discontinue features of the Services where reasonably necessary.

Nothing in this section affects obligations that cannot lawfully be excluded or modified.

17. Warranties and Consumer Rights

Products and Services are subject to any warranties, guarantees, conditions, and consumer protections that apply under applicable law.

Nothing in these Terms excludes or limits mandatory rights concerning matters such as product quality, safety, conformity, description, ownership, fitness for purpose, or other protections where applicable law provides those rights.

Any disclaimer contained in these Terms applies only to the extent legally permitted in your jurisdiction.

18. Limitation of Liability

Nothing in these Terms excludes or limits liability where doing so would be prohibited by applicable law.

In particular, these Terms do not exclude or restrict liability or consumer remedies that cannot lawfully be excluded or restricted, including where applicable for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or mandatory rights relating to defective, unsafe, faulty, or misdescribed goods.

To the maximum extent permitted by applicable law, we will not be liable for indirect, incidental, special, punitive, exemplary, or consequential losses that were not reasonably foreseeable as a result of your use of the Services or purchase of products.

Any limitation or exclusion of liability in these Terms applies only to the extent that it is valid and enforceable under the law applicable to the particular claim.

Some jurisdictions do not permit certain exclusions or limitations of liability. In those jurisdictions, the relevant limitations will apply only to the maximum extent permitted by law.

19. Indemnification

To the extent permitted by applicable law, you agree to be responsible for losses, liabilities, damages, or reasonable costs arising directly from:

  • your material breach of these Terms;
  • your unlawful use of the Services;
  • your infringement of another person's rights; or
  • fraud or intentional misconduct committed by you.

This section does not require you to indemnify us for losses caused by our own unlawful conduct, negligence, breach of contract, or other matters for which applicable law makes us responsible.

Nothing in this section limits rights or protections that cannot lawfully be waived.

20. Events Outside Reasonable Control

Neither party will be responsible for a failure or delay in performing an obligation where the failure or delay results from circumstances genuinely outside that party's reasonable control, except where applicable law provides otherwise.

Such circumstances may include natural disasters, severe weather, war, civil disturbance, government action, transportation disruption, widespread telecommunications failures, or similar events.

This section does not remove obligations regarding refunds, consumer remedies, or other rights where applicable law requires them.

21. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be interpreted or limited to the extent reasonably necessary to make it enforceable where legally possible.

If that is not possible, the unenforceable portion will be severed.

The remaining provisions will continue in effect to the extent permitted by law.

22. No Waiver

If we do not immediately exercise or enforce a right under these Terms, that does not mean we waive that right.

Any waiver applies only to the particular circumstances for which it is given unless expressly stated otherwise.

23. Entire Agreement

These Terms, together with policies and terms expressly incorporated by reference, constitute the agreement governing your use of and purchases through the Services, subject to any mandatory rights or terms imposed by applicable law.

Nothing in this section excludes representations, rights, or obligations that cannot legally be excluded.

24. Assignment

You may not transfer your contractual rights or obligations to another person where doing so would materially affect our rights or obligations, except where permitted by applicable law or with our consent.

We may transfer our rights or obligations in connection with a legitimate business reorganization, transfer, merger, acquisition, or similar transaction, provided that doing so does not unlawfully reduce your rights.

Any transfer remains subject to applicable law.

25. Governing Law and Disputes

These Terms and our relationship with you are governed by the laws applicable to Zept Labs, subject to any mandatory consumer protections, choice-of-law rules, and jurisdictional rights that apply to you.

If you are a consumer, nothing in these Terms is intended to deprive you of mandatory protections available under the laws of your country, state, province, territory, or other applicable jurisdiction.

Nothing in these Terms is intended to prevent you from bringing a claim before a court or other competent authority where applicable law gives you the right to do so.

Before initiating formal proceedings, we encourage you to contact us so that we can attempt to resolve the matter, but doing so does not limit your legal rights or prevent you from pursuing any remedy available under applicable law.

26. Local Consumer Rights

We operate the Services for customers in multiple jurisdictions.

Consumer protection, ecommerce, product, contract, warranty, cancellation, and other laws vary by location.

Depending on where you live or where an order is supplied, you may have mandatory rights in addition to those described in these Terms.

Nothing in these Terms is intended to waive, restrict, exclude, or override any legal right or remedy that cannot lawfully be waived, restricted, excluded, or overridden.

Where applicable mandatory law provides greater protection than these Terms, the mandatory legal protection will apply.

27. Changes to These Terms

We may update these Terms from time to time to reflect changes to the Services, our business practices, legal requirements, security requirements, or other legitimate operational needs.

The current version will be made available through the Services with an updated "Last updated" date.

Where applicable law requires additional notice or consent for a material change, we will provide it.

Changes will not retroactively remove rights that have already arisen unless permitted by applicable law.
